These Terms and Conditions ("Agreement") govern the use of the Star Technologies Managed IT Services (MSP) provided by Star Technologies ("Company") through the website www.star-technologies.biz ("Site"). By accessing or using the Site and MSP services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, please do not use the Site or MSP services.
1) MSP Services
a) The Company provides Managed IT Services, including but not limited to IT infrastructure management, network monitoring, security, data backup and recovery, cloud services, help desk support, and IT consulting.
b) The specific services, features, and deliverables of the MSP services may vary based on the agreed-upon terms between the Company and the client.
2) Client Responsibilities
a) The client agrees to provide accurate and up-to-date information to the Company for the effective provision of MSP services.
b) The client is responsible for maintaining the confidentiality of their account credentials and ensuring the security of their systems and networks.
3) Service Level Agreement (SLA)
a) The Company will make reasonable efforts to meet the agreed-upon service levels and response times as outlined in the Service Level Agreement.
b) The SLA may include provisions regarding uptime, system availability, response times, and other performance metrics. Specific terms and details will be defined in the SLA between the Company and the client.
4) Billing and Payment
a) The client agrees to pay the fees as outlined in the agreed-upon contract or pricing structure for the MSP services.
b) Billing cycles, payment terms, and accepted payment methods will be defined in the agreement between the Company and the client.
5) Intellectual Property
a) All intellectual property rights, including but not limited to software, documentation, reports, and other deliverables, remain the property of the Company.
b) The client is granted a non-exclusive, non-transferable license to use the intellectual property solely for the purpose of receiving the MSP services.
6) Limitation of Liability
a) The Company will not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the MSP services.
b) The Company's liability is limited to the fees paid by the client for the MSP services during the three (3) months preceding the event giving rise to the liability.
7) Termination
a) Either party may terminate the MSP services by providing written notice to the other party.
b) Termination does not relieve the client's obligation to pay any outstanding fees owed to the Company.
8) Privacy
a) The Company will collect and process personal information in accordance with applicable privacy laws and its Privacy Policy. By using the Site and MSP services, you consent to the Company's collection and use of personal information as described in the Privacy Policy.
9) Governing Law and Jurisdiction
a) This Agreement shall be governed by and construed in accordance with the laws of State of Connecticut.
b) Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of State of Connecticut
10) Amendments
a) The Company reserves the right to modify or update this Agreement at any time without prior notice. The revised Agreement will be effective upon posting on the Site.
